1.1.

Offers are non-binding and subject to change. An order is only considered placed when it is confirmed by MGM Audio AG within three weeks of receipt or when the delivery has already been executed.

1.2.

Changes to orders must be made in writing and require mutual agreement.

1.3.

By placing the order, the client fully acknowledges the generally known terms and conditions of MGM Audio AG.

1.4.

An order is considered fulfilled by MGM Audio AG when the goods are ready for collection in accordance with the contract in terms of type and quantity, handed over to a third party for transport, or delivered directly.

1.5.

Upon handing over the goods to the client or their representative, specifically with their signature on the delivery document, MGM Audio AG's liability for the goods ceases. Warranty claims remain unaffected.

1.6.

MGM Audio is entitled to withdraw from the order, demand advance payment, or reclaim reserved goods in the case of agreed partial payment if it is evident that the client cannot meet their obligations.

2.1.

The delivery of the goods will be made by shipping at the discretion of MGM Audio AG.

3.1.

A warranty claim exists fundamentally only if there are manufacturing defects.

3.2.

In the case of justified complaints, the client has the right, at the discretion of MGM Audio AG, to request rectification or replacement delivery. Only after three attempts to rectify the same defect can the client demand a reduction in the fee or the cancellation of the purchase.

3.3.

To assert the claims mentioned in 3.2., the client is obliged to provide proof of warranty (invoice and a detailed description of the fault).

3.4.

In the event of external intervention or improper handling of the products, the warranty claim expires.

3.5.

Rectification will take place within the warranty period of seven working days. This does not apply to products or systems that must be sent back to the manufacturer.

3.6.

Returns where no fault is found (e.g. also handling errors by the client) will be considered a chargeable inspection and will be billed to the client with a testing fee of CHF 50.00, plus shipping costs and statutory VAT.

4.1.

All payments must be made, unless expressly agreed otherwise in writing, by cash on delivery or in advance, for regular customers from the 3rd order by invoicing without any deductions.

4.2.

In the event of a payment delay, default interest of 6% will be due.

5.1.

MGM Audio retains ownership of the delivered goods until full payment of all claims due to MGM Audio AG, including all ancillary costs such as packaging and shipping costs.

5.2.

The client is obliged to clearly identify the goods subject to retention of title to the judicial authority in the event of judicial enforcement measures directed against their property.

5.3.

The client is entitled to process and sell the goods subject to retention of title in the ordinary course of business as long as they are not in default. Pledges and security transfers are not permitted.

5.4.

The client hereby assigns all claims arising from the resale or any other legal grounds (insurance claims / tort) regarding the goods subject to retention of title (including all balance claims from current accounts) in full to MGM Audio AG as a precaution.

5.5.

In the event of third-party access to the goods subject to retention of title, the client will point out the ownership of MGM Audio AG and notify them immediately. The client must fend off third-party access.

5.6.

In the event of payment default, particularly after a cheque has not been honoured, MGM Audio AG is entitled, without the need for corresponding court titles or authorisations, to assert the retention of title and take possession of the goods subject to retention of title by entering the business premises through representatives who must provide appropriate identification. The client bears the full cost of removal.
